TradeProp Terms of Service

These Terms of Service ("Terms") govern your access to and use of TradeProp, a quoting, job follow-up, and invoicing tool for trade businesses ("TradeProp", "we", "us", "our"), provided through the website tradeprop.app and the application at my.tradeprop.app (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. What TradeProp does

TradeProp is software for tradies (electricians, plumbers, builders, and similar trade businesses) to create and send quotes to customers, follow up on outstanding quotes automatically, track jobs through a pipeline from lead to paid invoice, and manage customer contact details, payment schedules, and business settings. Some features (for example, generating a first-draft quote document) use third-party AI services to help produce content, which you can review and edit before it is sent to your customer.

TradeProp is provided to you, the trade business ("you", "your account"), for use in your own business. Your customers who receive quotes, invoices, or messages through TradeProp are not TradeProp account holders and are not bound by these Terms merely by receiving those communications.

2. Beta program terms

TradeProp is currently in a beta phase. These terms apply for as long as your account is participating in the beta program:

  • 60 days free. New accounts created during the beta program get 60 days of full access from the date of signup, no payment details required to start.
  • After 60 days. If you want to keep using TradeProp beyond the 60-day period, you'll need to subscribe at the then-current beta price (currently $39/month, billed monthly via Stripe).
  • If you don't subscribe, your account is not deleted and your existing data is not removed. Your account moves to a read-only state: you can still view your existing quotes, jobs, and customer records, but you can't create new quotes or send new communications until you subscribe.
  • Accounts created after the beta program ends receive 30 days free from signup, after which continued use requires a paid subscription at whatever price is then current (we'll always tell you the price before you're charged).
  • We may change the beta price, the length of the free period, or end the beta program itself at any time, with reasonable notice to existing accounts before any change affects them.

3. Fair use

TradeProp's pricing is not metered per action, but it isn't unlimited either. We reserve the right to review accounts with unusually high usage (for example, an account generating far more AI-assisted quote content than a typical trade business would in normal use) and to contact the account holder about it. We don't publish a hard usage cap, and we won't automatically suspend or throttle your account for high usage without contacting you first, this is a manual review process, not an automated one.

4. Payment terms

  • Subscriptions are billed monthly in advance through Stripe, our payment processor. We do not see or store your card details, Stripe handles that directly.
  • You can update your payment method or view your billing history at any time from your account's billing settings.
  • No refunds. You can cancel your subscription at any time. Cancelling stops future billing, but we don't refund the unused portion of your current billing period, your access continues (at full, non-read-only functionality) until the end of the period you've already paid for.

5. Ending your account

You can cancel any time. Cancel your subscription from your billing settings, or contact us to close your account entirely. Cancelling a subscription moves your account to the read-only state described in Section 2, it does not delete your data (see Section 7).

We may suspend or terminate your account if you breach these Terms (including the acceptable use rules in Section 8), don't pay for a subscription you've agreed to, or if your usage triggers the fair-use review in Section 3 and we're unable to reach a reasonable resolution with you. We'll make reasonable efforts to contact you before doing so, except where we reasonably believe immediate action is needed (for example, to protect the security of the Service or other users).

6. Disclaimer and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We don't guarantee the Service will be uninterrupted, error-free, or available at all times. AI-generated content (such as draft quotes) is a starting point for you to review, you're responsible for checking it's accurate before sending it to a customer.

To the maximum extent permitted by law, TradeProp is not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability to you for any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months before the claim arose.

7. Your data

You own the business and customer data you put into TradeProp. We don't claim ownership of it, and we don't use it to train third-party AI models beyond what's needed to generate content you requested (see our Privacy Policy for exactly what's shared with which providers, and why).

If you close your account or your account is terminated, you can request a copy of your data and/ or deletion by contacting us at sam@tradeprop.app. We aim to action these requests within 30 days. TradeProp doesn't currently offer self-service export or deletion from within the app, if that changes we'll update this section.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or to send fraudulent quotes or invoices.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service.
  • Attempt to circumvent the fair-use review process, rate limits, or subscription/payment requirements.
  • Use the Service to store or transmit content that's harmful, harassing, or infringes someone else's rights.
  • Resell or provide access to the Service to a third party without our agreement.
  • Attempt to gain unauthorized access to another account or to TradeProp's systems.

9. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we'll notify you (by email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of New South Wales, Australia, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of New South Wales.
